1. Our services

GOADS provides Meta advertising infrastructure and account-support services. We help advertisers set up, run, and maintain their Meta (Facebook/Instagram) advertising operations. Depending on the plan you select, this includes access to a configured set of advertising assets (such as a Business Manager, ad accounts, profiles, and pages), ongoing support, and replacement of assets that become disabled, as described on the Site and agreed at purchase.

The specific contents of each plan are described on the Site and may be updated from time to time. We will confirm what is included in your plan at the time of purchase.

2. Eligibility

Our services are intended for businesses and advertising professionals. By using our services, you confirm that you are at least 18 years old and able to enter into a binding agreement. You are responsible for ensuring that your use of our services complies with all laws and regulations that apply to you.

3. Plans, billing, and payment

a) Subscription.

Our services are offered on a recurring monthly subscription basis, unless otherwise agreed. Yearly plans, where offered, may be provided at a discounted rate (e.g. 10% off) as shown at purchase.

b) Billing cycle.

Your subscription renews monthly on your purchase date. You are responsible for arranging payment before your renewal date to avoid interruption of service (for example, transferring payment 1–2 days before the renewal date).

c) Payment methods.

Payment is made using the methods we make available (e.g. bank transfer, PayPal, or cryptocurrency). Certain campaign spend is billed by Meta directly to the payment card you add to your ad account; that spend is separate from your subscription fee and is your responsibility.

d) Upgrades and changes.

You may request to upgrade your plan; our team will advise on the appropriate option and any applicable price change for your case.

e) Late or non-payment.

If payment is not received by the renewal date, we may suspend or terminate access to the services associated with your subscription.

4. Your responsibilities

You agree that you will:

• Use the services only for lawful business purposes;
• Comply with all applicable laws and with the policies of any third-party platform you advertise on (including Meta's advertising and platform policies);
• Add and manage your own payment card on the ad account(s) provided, and remain responsible for your own advertising spend;
• Keep your login and access credentials secure;
• Provide accurate information when contacting us or placing an order.

You are solely responsible for the content of your advertising campaigns and for your compliance with third-party platform rules. We do not control decisions made by Meta or any other platform regarding your accounts or campaigns.

5. Warranty and replacement

We provide a replacement-based warranty on the assets included in your plan. If an included asset becomes disabled during your active subscription, we will replace it as described on the Site, at no additional fee, subject to these Terms.

The warranty covers assets that become disabled in the normal course of use. It does not cover issues caused by your own breach of applicable laws or third-party platform policies, misuse, or actions outside the scope of the service.

6. Refunds

Our warranty is fulfilled through replacement, not refunds. Subscription fees already paid are non-refundable except where we are unable to deliver the service you have paid for, or where a refund is required by applicable law.

7. Ownership and access

While your subscription is active, you receive full operational access to use the assets included in your plan. Ownership of the underlying ad account(s) remains with GOADS. Your right to use the assets ends when your subscription ends or is terminated.

8. Acceptable use

You may not use our services or the Site to:

• Violate any applicable law or regulation;
• Infringe the rights of others;
• Distribute malware or attempt to gain unauthorized access to any system;
• Resell, sublicense, or transfer access provided to you without our written consent;
• Interfere with or disrupt the Site or the services.

We may suspend or terminate your access for any breach of this section.

9. Third-party platforms

Our services relate to advertising on third-party platforms (such as Meta) that we do not own or control. We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. Those platforms may change their policies, features, or enforcement at any time, and such changes are outside our control.

10. Disclaimers

The services and the Site are provided on an "as is" and "as available" basis. We do not guarantee any specific advertising outcome, performance, revenue, or that any account will remain active indefinitely, as these depend on factors outside our control, including the decisions of third-party platforms. To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

11. Limitation of liability

To the maximum extent permitted by law, GOADS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the services. Our total liability for any claim relating to the services shall not exceed the amount you paid to us for the subscription in the month in which the claim arose.

12. Termination

You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and access ends at that time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the services unlawfully. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will continue to apply.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the District of Columbia, United States, without regard to conflict-of-laws principles. Any disputes shall be subject to the courts of the District of Columbia, United States, unless otherwise required by applicable law.
